Corporate Governance Officer

Setup Status

On March 28, 2025, the Board of Directors appointed Ms. Yi-Ju Chen, Chief Financial Officer, as the Corporate Governance Officer. She is responsible for matters related to corporate governance, with the aim of protecting shareholders’ rights and enhancing the functioning of the Board.
Ms. Chen has more than three years of experience in a managerial position overseeing finance and corporate governance affairs at publicly listed companies, meeting the qualification requirements set forth in the “Directions for the Implementation of Board of Directors’ Duties by TPEx-Listed Companies.”

Scope of Authority

  1. Handling matters related to Board of Directors and Shareholders’ Meetings in accordance with applicable laws and regulations
  2. Preparing minutes for Board of Directors and Shareholders’ Meetings
  3. Assisting directors with onboarding and ongoing education
  4. Providing necessary information to support directors in performing their duties
  5. Assisting directors in complying with relevant laws and regulations
  6. Other matters as stipulated by the Articles of Incorporation or relevant agreements

2024 Business Execution Overview

  1. Responsible for handling matters related to the Board of Directors and Shareholders’ Meetings, including the preparation of meeting minutes.
  2. Assists directors with ongoing professional development.
  3. Supports directors in complying with applicable laws and regulations, and provides timely updates on new or amended corporate governance-related rules and regulations as needed.

2025 Training Overview

Ms. Yi-Ju Chen, the newly appointed Corporate Governance Officer and Chief Financial Officer as of March 2025, will complete 18 hours of continuing education within one year of assuming the position, in accordance with the “Directions for the Implementation of Board of Directors’ Duties by TPEx-Listed Companies.”
