Succession Planning for Board Members
The election of the company’s directors follows a candidate nomination system, with directors being selected by the shareholders’ meeting from the list of nominated candidates. Many board members possess professional knowledge and skills in areas such as business, finance, accounting, management, or industry-specific expertise. During their tenure, each director is required to complete at least 6 hours of annual training to continuously enhance their knowledge, ensuring they maintain their core values, professional advantages, and capabilities.
Succession Planning and Operation for Key Management
- The company places great importance on succession planning for management. When designing succession plans, we consider not only exceptional operational management, professional competence, communication skills, and outstanding performance, but also alignment with the company’s core values, including integrity, innovation, professionalism, and a results-driven mindset.
- For key management roles at the director level and above, each manager has a job description and a designated deputy who is trained and developed for the role. The company’s existing employee performance evaluation system is utilized to observe and assess areas for improvement, individual development needs, and company expectations. This allows for the evaluation and review of suitable future successors, supporting ongoing development and planning.
- The top management regularly holds strategy formulation and execution meetings with senior functional managers to ensure the achievement of company goals. In addition, ad hoc meetings with external consultants or specialized sharing sessions led by senior executives are organized, where department heads share expertise or discuss recent projects. These professional reports and discussions foster mutual learning.
- Employees are encouraged to enhance their skills and abilities, with opportunities provided for both internal training and participation in external training programs.
